1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VERX LLC ("VERX," "we," "our," or "us") regarding your access to and use of our website at verx.gloweb.cloud and any related services, applications, or products (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Intellectual Property Rights

Unless otherwise indicated, the Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by VERX LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your Web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution

3. User Representations

By using the Services, you represent and warrant that:

  • You have the legal capacity and agree to comply with these Terms
  • You are not a minor in the jurisdiction in which you reside
  • You will not access the Services through automated or non-human means
  • You will not use the Services for any illegal or unauthorized purpose
  • Your use of the Services will not violate any applicable law or regulation

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

Prohibited activities include, but are not limited to:

  • Systematically retrieving data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us
  • Making any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means
  • Engaging in unauthorized framing of or linking to the Services
  • Tricking, defrauding, or misleading us and other users, especially in any attempt to learn sensitive account information
  • Interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services
  • Attempting to impersonate another user or person or using the username of another user
  • Selling or otherwise transferring your profile or account
  • Using any information obtained from the Services in order to harass, abuse, or harm another person
  • Deciphering, decompiling, disassembling, or reverse engineering any of the software comprising or in any way making up a part of the Services

5. Service Engagement Terms

When engaging VERX for professional services, the following terms apply:

  • Project Scope: All work will be performed according to the mutually agreed-upon Statement of Work (SOW) or project proposal.
  • Payment Terms: Payment terms are specified in the individual SOW. Typically, projects require a 30% deposit to commence, with milestone-based payments thereafter.
  • Intellectual Property: Upon full payment, the client receives ownership of all custom-developed code and designs specific to their project. VERX retains ownership of any pre-existing IP, frameworks, or tools used in the project.
  • Confidentiality: Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement.
  • Warranty: VERX provides a 30-day warranty period after project delivery to address any bugs or defects at no additional cost.

6. Limitation of Liability

IN NO EVENT WILL VERX LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if VERX has been advised of the possibility of such damage.

7. Indemnification

You agree to defend, indemnify, and hold harmless VERX LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

8. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in Broward County, Florida.

9. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

10. Termination

We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

11. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VERX LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SERVICES.
